General Terms and Conditions
The ground rules for everyone on Sinnapi — how the platform works, what you can expect from us, and what we ask of every client and vendor.
Introduction and Acceptance
Welcome to Sinnapi ("Platform", "we", "us", "our"). Sinnapi is the marketplace and operations system for the events industry, owned by Oeuvre, a company registered in Uganda. By accessing or using the Platform, you ("User") agree to be bound by these General Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform.
Definitions
- Platform means the Sinnapi website, mobile application, dashboard, and all associated services accessible at sinnapi.com.
- User means any individual or entity that accesses or uses the Platform, including Vendors and Clients.
- Vendor means any individual or business offering event-related services through the Platform.
- Client means any individual or business using the Platform to discover, book, or manage event-related services.
- Booking means a confirmed transaction between a Client and a Vendor facilitated through the Platform.
- Escrow means the secure holding of payment funds by Sinnapi pending completion of a Booking.
- Content means any text, images, videos, or other materials submitted to the Platform by Users.
Eligibility
To use the Platform you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts; (c) not be prohibited from using the Platform under applicable law; and (d) provide accurate and complete registration information.
Account Registration
Users must create an account to access core Platform features. You agree to: (a) provide accurate, current, and complete information; (b) maintain the security of your login credentials; (c) notify Sinnapi immediately of any unauthorized account access; and (d) accept responsibility for all activity under your account. Sinnapi reserves the right to suspend or terminate any account that violates these Terms.
Platform Services
Sinnapi provides the following services through the Platform:
- A verified vendor marketplace enabling Clients to discover, compare, and book event service providers.
- An AI-powered matching engine that recommends vendors based on Client requirements.
- A quotation builder enabling vendors to create and send quotations.
- An escrow-backed payment system protecting both Clients and Vendors.
- A direct messaging system for Client-Vendor communication.
- An analytics dashboard for performance tracking.
- And more.
User Conduct
All Users agree not to: (a) post false, misleading, or fraudulent content; (b) impersonate any person or entity; (c) engage in harassment, abuse, or discrimination; (d) attempt to circumvent the Platform to transact directly with other Users and avoid Platform fees; (e) upload malicious code or interfere with Platform operations; (f) violate any applicable law or regulation.
Payments and Fees
Vendor subscription fees are charged monthly, quarterly, or annually as per the selected plan. All fees are non-refundable except as expressly stated. A platform transaction fee applies to bookings processed through escrow. Sinnapi reserves the right to modify fees with 30 days written notice to affected Users.
Intellectual Property
All Platform content, trademarks, logos, and technology are the exclusive property of Sinnapi or its licensors. Users retain ownership of Content they submit but grant Sinnapi a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display such Content for Platform operations and marketing purposes.
Disclaimers and Limitation of Liability
Sinnapi operates as an intermediary marketplace and is not a party to contracts between Clients and Vendors. Sinnapi does not guarantee the quality, safety, or legality of services offered by Vendors. To the maximum extent permitted by law, Sinnapi's aggregate liability shall not exceed the total fees paid by the User to Sinnapi in the 12 months preceding the claim.
Dispute Resolution
In the event of a dispute between Users, parties must first attempt to resolve the matter directly. If unresolved within 14 days, either party may escalate to Sinnapi's dispute resolution process by emailing support@sinnapi.com. Sinnapi's decision shall be final and binding with respect to escrow release. For disputes between a User and Sinnapi, parties agree to binding arbitration under the rules of the Uganda Arbitration and Conciliation Centre, with proceedings conducted in English.
Termination
Sinnapi may terminate or suspend any User account at any time for violation of these Terms, fraudulent activity, or at Sinnapi's sole discretion with 30 days notice for non-breach situations. Upon termination, the User's right to access the Platform ceases immediately.
Governing Law
These Terms are governed by the laws of Uganda. For Users operating in other jurisdictions, local mandatory consumer protection laws shall apply to the extent required.
Amendments
Sinnapi reserves the right to amend these Terms at any time. Material changes will be communicated via email or Platform notification with at least 14 days notice. Continued use of the Platform after the effective date constitutes acceptance.
